Terms & Conditions

By using the Platform, you confirm that:

1. You have read and understood these Terms.
2. You agree to comply with these Terms and all applicable laws.
3. The information provided by you is accurate and complete.
4. You have legal authority to enter into the applicable transaction or agreement.
5. You will not use the Platform for unlawful, fraudulent or prohibited activities.

Where a User acts on behalf of a company, partnership, proprietorship, LLP, organization or other entity, that User represents that they have authority to bind such entity.

Users must generally be 18 years of age or older and legally capable of entering into contracts.

Racks on Rent may require additional documentation or verification depending upon:

• Nature of the business
• Type of Display Space
• Product category
• Transaction value
• Applicable law
• KYC requirements
• Payment requirements
• Risk and compliance considerations

Racks on Rent may refuse registration where eligibility or verification requirements are not satisfied.

Racks on Rent operates as a technology-enabled marketplace and facilitation platform.

The Platform may facilitate interactions between Space Owners and Entrepreneurs, including:

Unless expressly stated otherwise in a separate written agreement, Racks on Rent does not itself own every Display Space listed by Space Owners and does not manufacture or own every product listed by Entrepreneurs.

A transaction involving a Space Owner and an Entrepreneur may therefore involve separate contractual obligations between those parties.

Users may be required to create an account to access certain Platform functions.

Users agree to:

• • Maintain confidentiality of login credentials
• • Not share accounts without authorization
• • Immediately report unauthorized access
• • Use the account only for lawful purposes

Users are responsible for activities conducted through their accounts unless unauthorized access occurred without their fault or negligence.

Racks on Rent may suspend or terminate accounts containing false, misleading, fraudulent or incomplete information.

Racks on Rent may conduct identity, business, ownership, address, bank-account or other verification before permitting a User to create or publish a Listing, receive payments/payouts, complete bookings, or continue using specific Platform services.

Users must provide genuine and valid documentation. Submission of documents does not automatically guarantee approval.

Racks on Rent may request additional information where reasonably necessary for compliance, fraud prevention, payment processing or operational purposes.

A Space Owner listing Display Space on the Platform represents and warrants that:

1. It has lawful ownership, possession, lease rights or authorization to offer the Display Space.
2. It has the necessary authority to permit the proposed commercial use.
3. The information provided in the Listing is accurate.
4. The stated dimensions and specifications are substantially accurate.
5. The agreed Display Space will be made available at the agreed time.
6. The Display Space will be maintained in reasonably safe and usable condition.
7. The Space Owner will comply with applicable municipal, commercial, safety and other legal requirements.
8. The Space Owner will not knowingly misrepresent the location, size, availability or facilities.
9. The Space Owner will promptly notify Racks on Rent of material changes affecting the Listing.

The Space Owner remains responsible for obligations arising from its ownership, possession or operation of the premises.

Entrepreneurs using Display Space must:

The Entrepreneur is solely responsible for the legality, quality, authenticity, safety and compliance of products or services offered by the Entrepreneur.

Space Owners and Entrepreneurs are responsible for the accuracy of information submitted to the Platform.

Listings should accurately disclose, where applicable: location, Display Space dimensions, rental price, security deposit, availability, operating hours, facilities, restrictions, photographs, product details, business details, and other material conditions.

Racks on Rent may review, reject, edit, restrict, suspend or remove Listings that are inaccurate, misleading, incomplete, unlawful or inconsistent with Platform policies.

A booking request submitted through the Platform does not necessarily constitute a confirmed booking.

A booking becomes confirmed only after completion of the applicable confirmation process specified by Racks on Rent.

Confirmation may depend on space availability, KYC completion, payment, owner/entrepreneur approvals, documentation, verification, and operational requirements.

Racks on Rent may cancel or decline a booking where necessary due to compliance, availability, technical, security, fraud-prevention or other legitimate reasons.

The commercial terms applicable to a Display Space may include:

The applicable terms displayed or agreed at the time of booking shall govern the relevant transaction, subject to these Terms and any separate agreement between the relevant parties.

Payments may be processed through authorized payment gateways or other approved payment mechanisms. Users agree to provide accurate payment information.

Depending on the transaction, the total amount may include rent, security deposit, platform fees, service charges, taxes, convenience charges, and processing charges.

Applicable charges will be displayed before payment wherever reasonably practicable.

Racks on Rent does not store complete payment-card credentials unless expressly permitted and legally compliant. Payment processing is also subject to the terms and policies of the applicable payment service provider.

Where a Security Deposit is applicable, the amount and purpose will be communicated before confirmation.

A Security Deposit may be used, subject to the applicable agreement and law, toward:

• Physical damage to space or premises
• Unpaid rent or utilities
• Contractual charges or missing inventory
• Other documented obligations

Deductions should be supported by reasonable records or evidence where applicable. Remaining balances will be processed according to the applicable refund/deposit policy.

Racks on Rent may charge listing fees, booking fees, subscription fees, service charges, commission, advertising fees, transaction fees, or other applicable charges.

The applicable fee structure will be communicated to the relevant User before the charge becomes payable, wherever required.

Racks on Rent may revise its fee structure prospectively.

Cancellation rights and charges depend on time of cancellation, type of booking, rental duration, applicable cancellation policy, whether occupancy has commenced, security deposit status, and any separate agreement.

Users should review the applicable cancellation and refund terms before completing a booking.

Refunds, where applicable, will be processed in accordance with the Racks on Rent Refund & Cancellation Policy and the specific commercial terms applicable to the transaction.

Refunds may be subject to cancellation charges, platform fees, payment gateway charges, outstanding dues, damage deductions, applicable taxes, or other legally permissible deductions.

Refund processing times may vary depending upon the payment method and financial institution.

Users must not list, display, promote, store, distribute or sell products or services that are prohibited by law or by Racks on Rent policy.

Racks on Rent may maintain additional category-specific restrictions.

Entrepreneurs are solely responsible for ensuring that their products comply with applicable laws.

Compliance requirements include (where applicable):

For example, food businesses must comply with applicable food-safety requirements, while packaged products must comply with applicable labelling and legal-metrology requirements.

The Racks on Rent name, logo, trademarks, service marks, website design, software, application interface, graphics, content, databases and other proprietary materials are owned by or licensed to Racks on Rent, unless otherwise stated.

Users must not copy, modify, reproduce, reverse engineer, sell, distribute, scrape, republish or commercially exploit Racks on Rent intellectual property without prior written authorization.

Nothing in these Terms grants Users ownership of Racks on Rent intellectual property.

Users may submit photographs, videos, business descriptions, product descriptions, reviews, ratings, logos, promotional content, and other materials.

Users represent that they have the necessary rights to submit such content.

By submitting content, Users grant Racks on Rent a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute and use the content for operating, promoting and improving the Platform, subject to applicable law and the Privacy Policy.

Users remain responsible for the legality and accuracy of their submitted content.

Users may be permitted to submit reviews and ratings. Reviews must be genuine, relevant, based on actual experience, non-defamatory, non-threatening, and free from fraudulent manipulation.

Users must not purchase fake reviews, post reviews on behalf of others, manipulate ratings, threaten another User for a favourable review, or use reviews to promote unrelated businesses.

Racks on Rent may remove content violating these requirements.

The Platform may facilitate communication between Users.

Users must not use Platform communication tools for harassment, fraud, spam, unlawful solicitation, threats, abuse, unauthorized marketing, or circumvention of Platform security.

Racks on Rent may take appropriate action where misuse is detected.

Users must not intentionally circumvent Platform fees, verification processes, security measures or agreed commercial arrangements by moving a transaction outside the Platform for the purpose of avoiding applicable Platform charges or controls.

Racks on Rent may restrict or terminate accounts involved in deliberate fee circumvention or fraudulent off-platform transactions.

Racks on Rent may use automated and manual processes to identify fake accounts, suspicious transactions, duplicate accounts, false documents, fraudulent listings, payment fraud, identity misuse, manipulation of ratings, and other suspicious activity.

Where reasonably necessary, Racks on Rent may temporarily restrict an account while conducting verification.

Racks on Rent aims to maintain reliable Platform availability but does not guarantee uninterrupted or error-free operation.

The Platform may temporarily become unavailable because of maintenance, software updates, network failures, payment gateway issues, cybersecurity incidents, server failures, force majeure events, or other circumstances beyond reasonable control.

The Platform may integrate with third-party services including payment gateways, mapping services, communication services, analytics providers, cloud services, identity-verification providers, and other technology providers.

Third-party services may be governed by their own terms and privacy policies.

Racks on Rent is not responsible for independent failures or policies of third-party service providers, except to the extent required by applicable law.

Unless expressly agreed otherwise, Racks on Rent does not:

• ✖ Manufacture products
• ✖ Own every product listed
• ✖ Guarantee product quality
• ✖ Guarantee sales or footfall
• ✖ Guarantee business revenue or profitability
• ✖ Guarantee financial performance of Users

Any business projections, estimated footfall, expected revenue or promotional claims are indicative unless expressly guaranteed in writing.

Disputes between Space Owners and Entrepreneurs should initially be addressed directly between the concerned parties.

Racks on Rent may facilitate communication, documentation or dispute resolution where appropriate. However, unless expressly agreed otherwise, Racks on Rent is not a party to every underlying commercial arrangement between Users.

Nothing in this section limits any rights or remedies that cannot lawfully be excluded.

To the extent permitted by applicable law, a User agrees to indemnify and hold harmless Racks on Rent, its directors, employees, officers, affiliates and service providers against claims, losses, damages, penalties, liabilities and reasonable expenses arising from:

• Breach of these Terms
• Fraudulent activity or misrepresentation
• Violation of applicable law or third-party rights
• Infringement of intellectual-property rights
• Product-related claims attributable to the User
• Unauthorized use of Display Space

To the maximum extent permitted by applicable law, Racks on Rent shall not be liable for indirect, incidental, special, consequential or business-related losses arising from transactions between Users, including loss of profits, goodwill, anticipated revenue or business opportunities.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Racks on Rent may suspend, restrict or terminate an account where there is reasonable basis to believe that the User violated these Terms, submitted false info, failed KYC, engaged in fraud, listed prohibited items, misused the Platform, failed to pay, or created legal/reputational risk.

Where appropriate, Users may be provided an opportunity to rectify the violation.

Users may request account deletion through the applicable Platform mechanism or by contacting Racks on Rent.

Certain information may need to be retained where required by law, regulatory obligations, fraud prevention requirements, accounting requirements, dispute resolution or legitimate operational purposes.

Use of the Platform is also governed by the Racks on Rent Privacy Policy.

The Privacy Policy explains information collected, purpose of processing, consent, KYC info, cookies, data sharing, data security, data retention, user rights, and contact/grievance mechanisms.

The Platform's privacy and data practices will be updated as required by applicable law.

Users must comply with all laws applicable to their activities on or through the Platform, including Consumer protection laws, E-commerce regulations, IT laws, DPDP Act 2023, GST laws, FSSAI, Legal Metrology, IP laws, and local commercial rules.

The Platform's legal framework is periodically reviewed against the latest applicable Information Technology Rules and notifications published by MeitY.

Users may submit complaints or grievances through the designated Racks on Rent grievance mechanism.

Where applicable, complaints will receive a reference/ticket number to facilitate tracking in compliance with Indian Marketplace E-commerce Rules.

Racks on Rent may amend these Terms from time to time to reflect business changes, new features, regulatory requirements, security improvements, or fee structure revisions.

The updated version will be published on the Platform with a revised "Last Updated" date.

Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

Racks on Rent shall not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, floods, fire, epidemics/pandemics, war, terrorism, government restrictions, strikes, internet/telecom failures, power outages, or cybersecurity incidents.

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be modified or severed to the minimum extent necessary, while remaining provisions continue in full force.

Failure by Racks on Rent to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.

Users may not transfer or assign their rights or obligations without prior written consent.

Racks on Rent may assign or transfer its rights and obligations as part of a corporate restructuring, merger, acquisition, or sale of business.

These Terms shall be governed by the laws of India.

Subject to applicable consumer-protection laws and mandatory legal remedies, disputes shall be subject to the jurisdiction of the competent courts having jurisdiction over the Company's registered office in India.

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Space Owner Agreement, Entrepreneur Agreement, Product Listing Policy, KYC & Verification Policy, and Community Guidelines constitute the complete contractual framework governing the use of Racks on Rent.

By clicking "I Agree", "Accept Terms", "Register", "Book Now", "List Your Space", or "List Your Business", the User confirms that they have read and agreed to the applicable Terms and policies.

Electronic acceptance constitutes legal evidence of the User's agreement under applicable Indian IT laws.
